1Definitions
In these terms, we mean the following:
- Netslim: the company Netslim, registered with the Chamber of Commerce under number 73638463, based at Terveurdtweg 119, 6431VT Hoensbroek.
- Customer: anyone who enters into an agreement with Netslim or creates an account. A consumer is a customer who is not acting in the course of a profession or business. A business customer is.
- Service: everything Netslim provides, such as web hosting, WordPress hosting, VPS and dedicated servers, domain names, Plesk licenses, Google Workspace, the Netslim SEO plugin, security and interim services, and the free tools (website check, invoice tool).
- Account: the personal environment on netslim.nl where the customer manages services, domains, invoices and messages.
- In writing: also by email or through a message in the account.
2Applicability
- These terms apply to every offer, every order and every agreement between Netslim and the customer.
- For domain names, the rules of the relevant registry also apply (for example SIDN for .nl, DNS Belgium for .be and EURid for .eu). For third-party products, such as Plesk licenses and Google Workspace, the terms of that supplier also apply.
- The customer's general terms and conditions do not apply, unless Netslim agrees to them in writing.
- If a provision is invalid, the other provisions still apply. We then replace the invalid provision with one that comes as close as possible to its intent.
3Offer and formation of the agreement
- Prices and specifications on the website are compiled with care. Obvious errors, such as a clearly wrong price, do not bind Netslim.
- The agreement is formed as soon as the customer completes an order in the cart, accepts a quote in writing, or Netslim starts carrying out the work.
- The customer makes sure their details (name, address, email address, VAT number) are correct and up to date. For domain names, this is also required by law and by the registry.
- Netslim may refuse an order or ask for additional security, for example when there is doubt about identity or ability to pay, or in case of earlier misuse.
4Prices and payment
- Prices on the website are excl. VAT, unless stated otherwise. Consumers always see the total amount including VAT before checkout. For business customers in another EU country with a valid VAT number, VAT is reverse-charged.
- Services are invoiced in advance per period (per month, quarter, half year, year or several years, as chosen when ordering). We send renewal invoices about two weeks before the due date.
- The payment term is 14 days. You can pay via iDEAL, Bancontact, credit card or other methods that Mollie offers. If you have given a direct debit authorization, we collect renewals automatically.
- If you do not pay on time, we send a reminder. If payment still does not arrive, Netslim may suspend the service (for example, take the website offline). After payment, we turn the service back on as soon as possible.
- For business customers, statutory commercial interest and reasonable collection costs are due after a formal notice. For consumers, we only charge collection costs after we have sent a free formal notice with a term of 14 days, and then according to the statutory scale.
- Netslim may adjust prices once a year, for example when purchase prices of domains, licenses or energy go up. We announce this at least one month in advance. If the price goes up by more than 10%, the customer may cancel the service as of the effective date. We pass on price changes by the government (such as VAT) and by registries immediately.
- You report an objection to an invoice in writing within 14 days after the invoice date.
5Term, renewal and cancellation
- Subscriptions run for the chosen period and are then renewed automatically for the same period, unless the customer cancels before the due date.
- Consumers may cancel a tacitly renewed agreement at any time after that, with a notice period of at most one month.
- You cancel in your account or with a message to us. The service then continues until the end of the paid period. Amounts already paid are not refunded, unless the law requires it.
- After a hosting service ends, we delete the files, databases and email. So make your own copy before the end date. Afterwards, we cannot recover data.
- Netslim may end an agreement with immediate effect if the customer seriously breaches these terms (see article Rules of use), goes bankrupt or applies for suspension of payments.
6Right of withdrawal for consumers
- If you are a consumer, you may withdraw from a distance contract within 14 days without giving a reason. Let us know through your account or by email.
- If you want us to start within those 14 days (for example, set up your hosting right away), we ask for your explicit consent when you order. If you withdraw after that, you pay a proportionate amount for the period in which the service was already provided.
- A domain name is registered specially for you, in your name, with the registry and cannot be reversed. For this reason, the right of withdrawal expires for the registration or transfer of a domain name once it has been carried out with your explicit consent.
- For digital content and licenses that are delivered immediately after payment (such as a license key), the right of withdrawal expires once delivery has started with your consent.
7Domain names
- Netslim registers domain names with the relevant registry through the registrar Openprovider. The customer becomes the holder of the domain name and the rules of the registry apply.
- A domain name is only requested after payment. We only know for sure whether a domain name is available after registration. Netslim gives no guarantee on this.
- The customer is responsible for the choice of name and makes sure it does not infringe the rights of others, such as trademark rights.
- The holder's details are passed on to the registry. Depending on the extension, some details may appear in the public WHOIS. The registry decides this.
- Domain names are renewed automatically as long as the renewal invoice is paid and automatic renewal is on. If the invoice is not paid on time, the domain can expire. Restoring a domain after it has expired is sometimes possible, at the cost the registry charges for it.
- If you want to transfer a domain to another provider, we give you the transfer code (authcode) as soon as there are no outstanding invoices for that domain.
8Hosting, servers and licenses
- Netslim does its best to keep services available without interruption, but gives no guarantee of 100% availability. We carry out planned maintenance outside office hours as much as possible and announce it in the account.
- Packages with a set amount of storage, traffic or mailboxes are meant for normal use (fair use). If a customer puts so much load on the server that others are affected, we will contact you and may take temporary measures.
- We make regular backups of our hosting servers as an extra safety net. The customer remains responsible for their own up-to-date backup of their website, databases and email.
- VPSs and dedicated servers are delivered with a basic installation. Unless agreed otherwise in writing, the customer manages the operating system, the software, updates and security themselves.
- We pass on Plesk licenses, Google Workspace and other third-party products. The terms of that supplier also apply. We may pass on changes from that supplier (for example in price or features).
- Login details are personal. The customer uses strong passwords and keeps them secret. We recommend that everyone turns on two-step verification. Over time, we may make this mandatory for the account.
9Rules of use
- You may not use Netslim services to:
- distribute or store information that is against the law, such as child sexual abuse material, discriminatory or inciting content, or content that infringes copyright or trademark rights;
- send unsolicited email (spam) or use mailing lists without the recipients' consent;
- host or distribute malware, phishing or other deceptive pages;
- carry out attacks on other systems (such as DDoS, intrusion attempts or port scans without permission);
- mine cryptocurrency or run other processes that put excessive load on the server, unless explicitly agreed;
- disrupt the systems of Netslim or other customers, or try to gain access to data that is not meant for you.
- If we receive a complaint or report that a customer is breaking these rules, we follow a careful notice-and-takedown procedure. In case of clear violations or danger to our systems or other customers, we may block the service immediately (in part or in full).
- If Netslim is held liable because of the violation, or if costs arise (for example to clean up a hacked site or to get off a blocklist), these are at the customer's expense.
10Security, consultancy and interim
- We carry out security, consultancy and interim assignments to the best of our ability (best-efforts obligation). A scan or test is a snapshot. We cannot guarantee that a system is completely secure afterwards.
- We only carry out penetration tests and other active tests on systems for which the customer has given us written permission in advance and which the customer owns or manages.
- We treat everything we see during an assignment as confidential, also after it ends.
- Hours are invoiced at the agreed rate, weekly or monthly in arrears, unless agreed otherwise.
11Free tools, invoice tool and SEO plugin
- We offer the free website check and other free tools as they are. The result is an indication, not complete advice. Only scan websites that are yours or for which you have permission.
- With the invoice tool, you can create and send invoices yourself. You remain responsible for the content, such as the amounts, the VAT rate, the chosen VAT scheme and your own record-keeping obligation. Netslim sends the email on your behalf through its own mail server. Replies from your customer go to the email address you set yourself.
- The free version of the invoice tool is limited (for example in the number of invoices sent per month) and includes a mention of Netslim. Invoices Pro is a subscription per month or per year as shown on the website, and you can cancel monthly.
- Misuse of the invoice tool, such as sending fake invoices or spam, is prohibited and leads to immediate closure of the account.
- You may use the Netslim SEO plugin on the number of websites you have a license for. You get updates and support as long as your subscription runs.
12Personal data
- How we handle personal data is described in our privacy statement.
- For data that the customer processes with our services (for example websites, databases, email or the customer data in the invoice tool), the customer is the controller and Netslim is the processor. Our data processing agreement applies to this. It is automatically part of every agreement with a business customer.
13Liability
- Netslim is only liable for direct damage that results from an attributable failure. For business customers, liability per event is limited to the amount the customer paid for the service in question in the six months before the damage, with a maximum of € 5,000.
- Netslim is not liable for indirect damage, such as consequential loss, lost profit, missed savings, loss of data or damage caused by business interruption, unless the law provides otherwise.
- These limitations do not apply in case of intent or deliberate recklessness on the part of Netslim or its managers. For consumers, they apply only to the extent the law allows.
- A claim for damages must be reported to Netslim in writing as soon as possible, and no later than 12 months after the damage arises.
14Force majeure
Netslim is not liable if it cannot meet its obligations due to force majeure. This includes in any case outages at suppliers and data centers, failure of internet or power supplies, (D)DoS attacks, measures by governments or registries, and illness of the person carrying out the assignment. If the force majeure lasts longer than 60 days, both parties may terminate the agreement in writing.
15Intellectual property
All rights to software, designs, texts and other materials that Netslim develops or uses (such as the customer portal, the invoice tool and the SEO plugin) remain with Netslim or its licensors. The customer only receives a right of use for the duration of the agreement. Whatever the customer puts on their hosting remains the customer's.
16Changes to the terms
Netslim may change these terms. We announce changes at least 30 days in advance via the website or the account. If a change has negative consequences for the customer, the customer may cancel the agreement as of the date the change takes effect.
17Complaints, applicable law and disputes
- If you have a complaint, send us a message via your account or email info@netslim.nl. We reply within 5 working days and look for a solution together.
- Dutch law applies to all agreements.
- Disputes are submitted to the competent court in the district where Netslim is established. Consumers may choose the court that has legal jurisdiction within one month after Netslim invokes this clause.
